These Terms of Service supersede the previous version dated May 27, 2024.

Please read these Terms of Service (“Terms”) carefully before using the Project Binder platform. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2.1 Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By creating an Account, you represent and warrant that you meet these requirements.

To use the Service, you must create an Account by providing accurate and complete information, including your name, email address, company information, and a secure password. You are responsible for:

You may not share, transfer, or assign your Account to another person or entity without our prior written consent.

3. Description of the Service

Project Binder is a cloud-based project management and operations platform designed for photography and video production companies. The Service provides tools for managing leads, clients, estimates, crew, equipment inventory, tasks, budgets, documents, and production workflows.

The Service is currently in pre-release. Features may be added, modified, or removed as the platform evolves. We will provide reasonable notice of material changes to the Service.

4. Subscription Plans and Payment

4.1 Subscription Plans

Access to the Service requires a paid Subscription. Current plans include:

Pricing is subject to change. We will provide at least 30 days’ notice before any price increase takes effect on your account. All prices are listed in U.S. dollars unless otherwise stated.

4.2 Payment Processing

All payments are processed securely through Stripe. By subscribing, you authorize Stripe to charge your selected payment method for the applicable Subscription fees. You agree to provide accurate and complete billing information and to keep it current.

4.3 Billing Cycle and Auto-Renewal

Subscriptions are billed on an annual billing cycle. Your Subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We will send a reminder email before your Subscription renews.

4.4 No Refunds

All Subscription fees are non-refundable. If you cancel your Subscription, you will retain access to the Service through the end of your current billing period, but no refund will be issued for the remaining time.

4.5 Account Setup and Onboarding

Optional account setup and onboarding assistance is available for an additional fee. Annual subscribers receive 50% off onboarding services. Onboarding fees are non-refundable once services have commenced.

4.6 Taxes

Subscription fees are exclusive of applicable taxes (including sales tax, VAT, or other government levies). You are responsible for paying all applicable taxes, unless we are required by law to collect them.

5. User Content and Data Ownership

5.1 Your Content

You retain all ownership rights to the Content you upload, create, or transmit through the Service. This includes client information, project data, estimates, documents, notes, images, and all other data you input into the Service.

5.2 License to Us

By using the Service, you grant Project Binder a limited, non-exclusive, non-transferable license to host, store, process, and display your Content solely for the purpose of providing and improving the Service. This license terminates when you delete your Content or your Account, except for Content that has been shared with other users or included in backups that are retained according to our data retention policies.

5.3 Data Portability

You may export your data from the Service at any time using the available export features (e.g., PDF exports, CSV exports). If you need assistance exporting your data, contact us at admin@projectbinder.io.

5.4 Data After Termination

Upon termination or cancellation of your Account, we will retain your Content for 30 days to allow you to export your data. After this period, your Content will be permanently deleted from our active systems within 90 days. Backup copies may be retained for an additional period as required for disaster recovery purposes, after which they will also be deleted.

You agree to use the Service only for its intended purpose as a production management platform for legitimate business activities. You agree not to:

7. AI-Generated Content

The Service includes AI-powered features that generate content such as Statements of Work and other production documents. These features are currently powered by OpenAI and Anthropic (Claude). By using these features, you acknowledge and agree that:

The Service integrates with various third-party services, including Google Calendar, Google Places, Google Maps, Clearbit, Stripe, Twilio, SendGrid, Short.io, OpenAI, and Anthropic. Your use of these integrations may be subject to additional terms and privacy policies of the respective third-party providers.

The Service uses Twilio to send SMS messages related to task assignments, crew notifications, project updates, and other operational communications. Full SMS terms are available at projectbinder.io/sms-terms.

10. Intellectual Property

10.1 Our Intellectual Property

The Service, including its design, code, features, functionality, documentation, trademarks, and all related intellectual property, is owned by Project Binder LLC and is protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in the Service.

10.2 Limited License

Subject to your compliance with these Terms and payment of applicable Subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your Subscription period.

10.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and incorporate such feedback into the Service without any obligation to you.

11. Confidentiality

We understand that you may store sensitive business information within the Service, including client details, financial data, and production budgets. We treat all user Content as confidential and will not access, use, or disclose your Content except as necessary to provide the Service, comply with the law, or as otherwise described in our Privacy Policy.

12. Warranty Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, PROJECT BINDER DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PROJECT BINDER DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (D) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

THE SERVICE IS CURRENTLY IN PRE-RELEASE AND MAY CONTAIN BUGS, ERRORS, OR INCOMPLETE FEATURES. YOU ACKNOWLEDGE THAT YOU USE THE SERVICE AT YOUR OWN RISK.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROJECT BINDER LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO PROJECT BINDER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless Project Binder LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

15.1 Termination by You

You may cancel your Subscription at any time by contacting us at admin@projectbinder.io or through your account settings (when available). Upon cancellation, you will retain access to the Service through the end of your current billing period. No refunds will be issued.

We may suspend or terminate your Account immediately, without prior notice, if:

16.1 Service Modifications

We reserve the right to modify, update, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes that may affect your use of the Service. If you do not agree with material changes, you may cancel your Subscription.

16.2 Terms Modifications

We may revise these Terms from time to time. When we make material changes, we will notify registered users via email and update the “Last Updated” date. Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree, you must stop using the Service and cancel your Account.

17. Dispute Resolution

17.1 Informal Resolution

Before filing any formal legal action, you agree to first attempt to resolve any dispute informally by contacting us at admin@projectbinder.io. We will attempt to resolve the dispute within 30 days.

17.2 Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in Salt Lake County, Utah, unless the parties mutually agree otherwise. The arbitrator’s decision shall be final and binding.

17.3 Class Action Waiver

You agree that any arbitration or legal proceedings shall be conducted on an individual basis only. You waive any right to participate in a class action, collective action, or representative action.

17.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any legal actions not subject to arbitration shall be filed in the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of such courts.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Project Binder regarding the Service and supersede all prior agreements.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

19.5 Force Majeure

Project Binder shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service provider failures.

19.6 Notices

We may provide notices to you via email to the address associated with your Account, through in-app notifications, or by posting on the Service. Notices to us should be sent to admin@projectbinder.io.

19.7 Non-Transferability of Account

Your Account is non-transferable. All rights to your Account terminate upon your death. Upon receipt of a valid death certificate, the Account may be terminated and Content permanently deleted, subject to Section 15.3.

20. Statute of Limitations

Any claim or cause of action arising out of or related to the use of the Service or these Terms must be filed within two (2) years after such claim or cause of action arose, or it shall be permanently barred. This limitation applies to the fullest extent permitted by applicable law.

21. Copyright and DMCA

Project Binder respects the intellectual property rights of others. If you believe that content on the Service infringes your copyright, please submit a notice to our designated copyright agent with the following information:
